By using Orivia, you agree to these Terms. If you're using Orivia on behalf of an organization, that organization agrees to these Terms. Please read them fully before using our services.
1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User") and Orivia ("Company," "we," "our," or "us") regarding your use of the Orivia platform and related services (collectively, the "Service").
By accessing or using the Service, you confirm that you are at least 16 years old, have the legal capacity to enter into a binding agreement, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Service.
2. Description of Service
Orivia is a wedding planning platform that provides tools for timeline management, budget tracking, guest coordination, vendor management, and planning assistance.
We reserve the right to modify, suspend, or discontinue the Service at any time with reasonable notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.
The Service is provided in English and Japanese. Additional language support may be added at our discretion.
3. Accounts and Registration
Account Creation
To access most features of Orivia, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.
Account Security
You are responsible for maintaining the confidentiality of your account credentials. You agree to:
Use a strong, unique password for your Orivia account
Accept responsibility for all activities that occur under your account
One Account per Person
Each individual may maintain only one account. You may not share your account with others or use another person's account without permission.
4. Acceptable Use
You agree to use Orivia only for lawful purposes and in accordance with these Terms. You agree not to:
Use the Service for any fraudulent, illegal, or unauthorized purpose
Upload or transmit viruses, malware, or any other malicious code
Attempt to gain unauthorized access to any part of the Service or its infrastructure
Reverse engineer, decompile, or disassemble any part of the Service
Scrape, crawl, or use automated means to access the Service without our permission
Interfere with or disrupt the integrity or performance of the Service
Harass, abuse, or harm other users
Use the Service to infringe any third-party intellectual property rights
Resell or commercialize the Service without our written permission
Violation of these rules may result in immediate account termination without refund.
5. Your Content
Ownership
You retain full ownership of all content you upload, create, or submit through Orivia ("Your Content"), including wedding plans, guest lists, documents, and any other information you provide.
License to Us
By submitting Your Content, you grant Orivia a limited, non-exclusive, royalty-free license to store, process, and display Your Content solely to provide the Service to you. We do not claim ownership of Your Content.
Responsibility
You are solely responsible for Your Content. You represent and warrant that you have all necessary rights to submit Your Content and that it does not violate any third-party rights or applicable laws.
AI Processing
Orivia's AI features process Your Content to provide planning assistance, suggestions, and insights. We do not use Your Content to train AI models or share your planning data with third parties beyond what is necessary to provide the Service.
6. Payments and Subscriptions
Billing
Some features of Orivia require a paid subscription. By subscribing, you authorize us to charge your payment method on a recurring basis according to your chosen plan.
Cancellations
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until that date.
Refunds
We offer a 14-day money-back guarantee on all new subscriptions. Refunds for periods beyond 14 days are evaluated case-by-case. Contact hello@orivia.digital for refund requests.
Price Changes
We reserve the right to change pricing with 30 days' notice. Continued use after the effective date constitutes acceptance of new pricing.
7. Intellectual Property
The Orivia platform, including its design, features, AI models, software, trademarks, and all related content created by us, is owned by Orivia and protected by intellectual property laws.
You may not copy, reproduce, distribute, or create derivative works of Orivia's proprietary materials without our express written consent.
The Orivia name, logo, and "The Intelligence Behind Every Wedding" tagline are trademarks of Orivia. Unauthorized use is prohibited.
8. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or completely secure. AI-generated planning suggestions are for informational purposes only and do not constitute professional advice. You should independently verify all vendor and planning recommendations.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORIVIA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES.
Our total cumulative liability to you for any claims arising from or related to the Service shall not exceed the greater of (a) the amount you paid to us in the 12 months preceding the claim, or (b) USD $100.
10. Termination
By You
You may close your account at any time through account settings or by contacting us. Upon closure, we will delete your data in accordance with our Privacy Policy.
By Us
We reserve the right to suspend or terminate your account at any time for violation of these Terms, harmful behavior, or for any other reason with reasonable notice where practical. For serious violations (e.g., security breaches, fraud), we may terminate immediately without notice.
Effect of Termination
Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including IP, disclaimers, limitation of liability, and governing law) will survive.
11. Governing Law
These Terms are governed by and construed in accordance with applicable law. Any dispute arising from these Terms shall be resolved through binding arbitration, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction.
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
12. Changes to Terms
We may update these Terms at any time. Material changes will be communicated via email and/or an in-app notice at least 14 days before the effective date.
Continued use of the Service after the effective date constitutes your acceptance. If you disagree with updated Terms, please close your account before they take effect.
